The settlement includes commitments to production quotas and oversight, avoiding major asset sales like CNN.

Paramount’s CEO David Ellison viewed this as a significant victory amidst months of negotiations.

Investors responded positively, and Warner Bros Discovery shares increased by over 10%.

Opponents argue that the merger could negatively impact job security in Hollywood despite its perceived advantages.

The Writers Guild of America also settled its case against Paramount, though it expressed concerns about the deal’s effects on the industry.

California Attorney General Rob Bonta described the outcome as a robust antitrust resolution.

He acknowledged that while he opposed the merger, the settlement focused on maintaining competition within the industry.

Paramount pledged to increase its U.S. film production by an additional $300 million annually.

The company will aim to produce 30 films in the first two years and 32 in the subsequent three years of the deal.

At least four films each year will need to be independent, and 20% must be blockbusters, with penalties for not meeting these criteria.

A new editorial independence board will be created to maintain journalistic standards at CBS and CNN.

Ellison thanked the states, particularly California’s governor, for their assistance during negotiations.

While the merger received clearance from some regulators, a coalition of state attorneys general had previously attempted to block it, citing competition concerns.

The savings anticipated from the merger are estimated at $6 billion, although job cuts are expected in several areas.

The settlement helped Paramount circumvent a $7 million-per-day fee for delays.

Regulatory approvals have already been granted in the EU and Britain.
